5.2 Client Property

Ownership of custom software, applications, or deliverables created for clients shall be determined by the specific service agreement for each project.

6. Confidentiality

TechConnect, Inc. respects the confidentiality of client information and maintains strict confidentiality protocols. Both parties agree to maintain confidentiality of proprietary information shared during the course of business, as detailed in executed Non-Disclosure Agreements or service contracts.

7. Payment Terms

Payment terms for services are specified in individual service agreements or project proposals. General terms include:

• Invoices are due within 30 days of issuance unless otherwise specified
• Late payments may incur interest charges
• All fees are non-refundable unless specified in the service agreement
• Prices are subject to change with notice

8. Warranties and Disclaimers

We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards.

8.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN A SERVICE AGREEMENT, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECHCONNECT, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising out of or related to these Terms or our services shall not exceed the amount paid by you for the specific service giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless TechConnect, Inc., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of our services or violation of these Terms.

11. Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without notice, for any reason, including violation of these Terms. Ongoing service agreements may be terminated in accordance with the terms specified in those agreements.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved through binding arbitration in Johns Creek, Georgia, except that either party may seek injunctive relief in court for intellectual property matters.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with any service agreements or additional terms, constitute the entire agreement between you and TechConnect, Inc. regarding the use of our services.
